ABSTRACT
The article discusses the Small Company Capital Formation Act of 2011 approved by the U.S. House of Representatives on November 2. The law increases the threshold offered from 5 million U.S. dollars to 50 million U.S. dollars for offerings exempted from Securities Act of 1933 registration. It also mandates a study on the impact of state blue sky laws by the Comptroller General on offerings made under Regulation A.
